AGE : Below 65 years

QUALIFICATION : 

Possessing membership [Associate member (ACS)/ Fellow Member (FCS)]of the Institute of Company Secretaries of India (ICSI).Preference will be given to candidates with additional qualification of LB/CA /ICWA.

WORK EXPERIENCE : 

Serving or Retired executives not below the rank of Deputy General Manager with minimum 3 years’ post qualification (after obtaining membership) experience in listed Banks with minimum market cap of Rs.10000.00 crores. Have knowledge in SEBI Act, Companies Act and experience in RBI related compliance adherence / filings and secretarial functions.

ROLES & RESPONSIBILITIES :

  • Attending to all SEBI related compliance issues / Prohibition of Insider Trading (PIT) regulations and other policies and timely disclosure of all regulatory filings. Providing compliances support and clarifications to all departments.
  • Complying Resolution of NSE/BSE/SEBI and attending / replying other investor related complaints.
  • Liasioning with Government of India, Bank Board Bureau/ FSIB and Reserve Bank of India on various administrative matters related to the Board functioning and procedures.
  • Stakeholder Relationship maintenance.
  • To report to the Board about compliance with the provision of the Acts and laws.
  • To ensure that the Bank complies with the applicable secretarial standards issued by the Institute of Company Secretaries of India constituted under section 3 of the Company Secretaries Act, 1980 (56 of 1980) and approved by the Central Government.
  • To ensure constitution / re-constitution of Board Committees are done strictly as per laid down norms/customary practices

SELECTION METHODOLOGY :

After scrutiny of the online applications received, only eligible candidates will be called for Personal Interview or Interview through video conference. Short-listing for interview will be on the basis of the details provided by the candidates (regarding educational qualification and work experience) in the online application. The Bank would be free to reject the candidature of any candidate at any stage of the recruitment process, if he / she is found to be ineligible and / or furnished incorrect or false information / certificates / documents or has suppressed any material facts; and the fees paid by the ineligible candidates shall be forfeited.
